THIS TENTH AMENDED AND RESTATED OMNIBUS AGREEMENT (the “Agreement”) is being entered into on September 26, 2014 by and among HollyFrontier Corporation, a Delaware corporation (“Holly”), the other Holly Entities (as defined herein) listed on the signature pages hereto, Holly Energy Partners, L.P., a Delaware limited partnership (the “Partnership”), and the other Partnership Entities (as defined herein) listed on the signature pages hereto, and amends and restates in its entirety the Ninth Amended and Restated Omnibus Agreement entered into on January 7, 2014 and effective as of January 7, 2014 (as amended, the “Ninth Amended Omnibus Agreement”) among Holly, Navajo Pipeline Co., L.P., a Delaware limited partnership (“Navajo Pipeline”), Holly Logistic Services, L.L.C., a Delaware limited liability company (“Holly GP”), HEP Logistics Holdings, L.P., a Delaware limited partnership (the “General Partner”), the Partnership, HEP Logistics GP, L.L.C., a Delaware limited liability company (the “

This Amended and Restated Transportation Services Agreement (this “Agreement”) is dated as of September 26, 2014, to be effective as of the Effective Time, by and between HollyFrontier Refining & Marketing LLC (“HFRM”) and Holly Energy Partners-Operating, L.P. (“HEP Operating”). Each of HFRM and HEP Operating are individually referred to herein as a “Party” and collectively as the “Parties.”
