THIS AGREEMENT, dated and effective as of the 1st day of January, 2006, by and between THE INCOME FUND OF AMERICA, INC., a Maryland corporation (hereinafter called the "Fund"), and CAPITAL RESEARCH AND MANAGEMENT COMPANY, a Delaware corporation (hereinafter called the "Investment Adviser"). The parties agree as follows:
