This Asset Purchase Agreement ("Agreement") is dated December 6, 2002 by and among (a) Energetic Systems Inc., LLC, a Nevada limited liability company ("ESI"), UTeC Corporation, LLC, a Nevada limited liability company ("UTEC"), SEC Investment Corp.
