This letter agreement is intended to set forth the terms of your continued employment by Marsh & McLennan Companies, Inc. (“Marsh & McLennan Companies” or the “Company”) as its President and Chief Executive Officer. This position reports to the Board of Directors of the Company (the “Board”) and is currently located in New York, NY. You were appointed to the Board effective as of January 1, 2013, and the Company shall cause you to be nominated to the Board, and use its reasonable efforts to cause you to be re-elected to the Board during your service as President and Chief Executive Officer of the Company. The Board intends that, during such time, you will serve as a member of the Board’s Executive and Finance Committees. The terms of this letter agreement are effective as of March 20, 2013.
