THIS REGISTRATION RIGHTS AGREEMENT (this "Agreement") is made and entered into as of June 11, 2003 by and among Entergy Arkansas, Inc., an Arkansas corporation (the "Company"), and the Initial Purchasers (as hereinafter defined).
