This ADMINISTRATION AGREEMENT, dated as of [_________, 2011] (this “Administration Agreement”), is entered into by and between ENTERGY LOUISIANA, LLC (“ELL”), as administrator (in such capacity, the “Administrator”), and ENTERGY LOUISIANA INVESTMENT RECOVERY FUNDING I, L.L.C., a Louisiana limited liability company (the “Issuer”).
