THIS RESTRICTED UNITS AGREEMENT, by and between Entergy Corporation ("Company") and Roderick K. West ("Grantee"), is effective on May 1, 2013 (the “Effective Date”), as approved by the Personnel Committee of the Entergy Corporation Board of Directors. For purposes of this Restricted Units Agreement (the “Agreement”), Company shall include any successor to its business and/or assets which assumes and agrees to perform this Agreement by operation of law or otherwise.
