UDR, Inc., a corporation organized under the laws of Maryland (the “Company,” which term, as used herein, includes its predecessor United Dominion Realty Trust, Inc., a Virginia corporation (the “Predecessor”)), proposes to issue and sell to the several underwriters named in Schedule A attached hereto (the “Underwriters”) 5,000,000 shares of Common Stock, $0.01 par value (the “Common Stock”), of the Company (said shares to be issued and sold by the Company being hereinafter called the “Securities”). The term Underwriters shall mean either the singular or plural as the context requires. Certain terms used, and not otherwise defined, herein are defined in Section 17 hereof.
