This THIRD AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) is entered into as of September 8, 2008 among PERINI CORPORATION, a Massachusetts corporation (“Borrower”), the Guarantors (defined herein), the Lenders party hereto from time to time, BANK OF AMERICA, N.A., as Administrative Agent (“Administrative Agent”), and BANC OF AMERICA SECURITIES LLC, as Sole Lead Arranger and Book Manager (“Arranger”). This Agreement amends and restates in its entirety the Second Amended and Restated Credit Agreement dated as of May 7, 2008 (the “Existing Credit Agreement”) among Borrower, Bank of America, N.A., as Administrative Agent ( “Existing Agent”), Arranger and the lenders party thereto (collectively, “Existing Lenders”)
