This Definitive Purchase Agreement (this “Agreement”) is entered into as of June 24, 2016 (the “Signing Date”) by and among Massachusetts Mutual Life Insurance Company, a Commonwealth of Massachusetts life insurance company (“Insurer”), PPG Industries, Inc., a Pennsylvania corporation (“Company”), acting solely in a non-fiduciary capacity as the sponsor of the PPG Industries, Inc.
