THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of this 24th day of April, 2006 (the “Execution Date”), by and between OptiCare Managed Vision, Inc., a Delaware corporation (“Buyer”), the Acquired Companies and OptiCare Health Systems, Inc., a Delaware corporation (“OptiCare” or the “Seller”). The Buyer and Seller are sometimes collectively referred to herein as the “Parties” and individually as a “Party.”
