This AMENDMENT NO.1 AND CONSENT (this "Amendment"), dated effective as of June 30, 2011 (the "Effective Date"), is by and among Rowan Companies, Inc., a Delaware corporation (the "Borrower"), the Lenders party hereto, and Wells Fargo Bank, National Association, as an issuing lender, as swing line lender, and as administrative agent for the Lenders (in such capacity, the "Administrative Agent").
