THIS AGREEMENT is made as of the 13th day of January 2006 by and between SCUDDER ADVISOR FUNDS II, a Massachusetts business trust (the ‘Trust’), on behalf of EAFE Equity Index Fund and U.S. Bond Index Fund (the ‘Series’) and DEUTSCHE ASSET MANAGEMENT, INC., a Delaware corporation (the ‘Advisor’).
