This RIGHTS AGREEMENT (this “Agreement”) is made as of August 18, 2009, between DWS RREEF REAL ESTATE FUND, INC., a Maryland corporation (the “COMPANY”), and THE BANK OF NEW YORK MELLON, a New York banking corporation as Rights Agent (the “RIGHTS AGENT”), and shall be effective as of 5:01 P.M. New York time on August 18, 2009.
