This Purchase Agreement (this “Agreement”) is entered into as of August 18, 2006 by and among SENECA FOODS CORPORATION, a New York corporation (the “Buyer”), JOHN HANCOCK LIFE INSURANCE COMPANY, a Massachusetts corporation (“JHLIC”) and JOHN HANCOCK VARIABLE LIFE INSURANCE COMPANY, a Massachusetts corporation (“JHVLIC”, and collectively with JHLIC, the “Seller”).
