South Jersey Gas Company, a New Jersey corporation (the “Company”), confirms its agreement with each of you with respect to the issue and sale by the Company from time to time of up to $150,000,000 aggregate principal amount of its Secured Medium Term Notes, Series C, Due from One Year to Forty Years from Date of Issue (the “Notes”). The Notes will be issued under an indenture of trust (the “Original Indenture”) dated as of October 5, 1998 between the Company and The Bank of New York, as trustee (the “Trustee”), as supplemented by the First Supplement to Indenture, dated as of June 29, 2000, the Second Supplement to Indenture, dated as of July 5, 2000, and the Third Supplement to Indenture, dated as of July 9, 2001, each between the Company and the Trustee (the Original Indenture, as supplemented, the “Indenture”).
