This AMENDMENT (“Amendment”) is made as of May 15, 2007 by and among CAPITALSOURCE FINANCE LLC, a Delaware limited liability company (the “Lender”), and TELTRONICS, INC., a Delaware corporation (the “Borrower”). This Amendment is effective May 15, 2007 (the “Effective Date”).

This Amendment Number One to Credit Agreement (“Amendment”) is entered into as of August 8, 2007, by and among the lenders identified on the signature pages hereof (such lenders, together with their respective successors and permitted assigns, are referred to hereinafter each individually as a “Lender” and collectively as the “Lenders”), and WELLS FARGO FOOTHILL, INC., a California corporation, as the arranger and administrative agent for the Lenders (in such capacity, together with its successors and assigns in such capacity, “Agent”), on the one hand, and TELTRONICS, INC., a Delaware corporation (“Borrower”), on the other hand, with reference to the following facts:
