This Limited Liability Company Agreement of VOORHEES RISK MANAGEMENT LLC, a Delaware limited liability company (the "Company"), is made and entered into this 10th day of February, 2003, by and between VOORHEES RISK MANAGEMENT, INC. THIS GENERAL CONVEYANCE AND ASSIGNMENT AND ASSUMPTION AGREEMENT (this "Agreement") is made as of February 10, 2003, by and among AMERICAN INDEPENDENCE CORP., a Delaware corporation ("AMIC"), INDEPENDENCE AMERICAN INSURANCE COMPANY, a Delaware corporation ("IAIC" and collectively with AMIC, "Cash Contributing Members"), VOORHEES RISK MANAGEMENT, INC., a New Jersey corporation ("Voorhees Holdings"), VOORHEES RISK MANAGEMENT LLC, a Delaware limited liability company ("Voorhees LLC"), OLDE CITY RISK MANAGEMENT, INC., a New Jersey corporation ("Olde City Holdings"), PAUL POLLOCK ("Pollock"), DEEPAUL CHARITABLE REMAINDER UNITRUST (collectively with Pollock, the "Pollock Shareholders"), MICHAEL B. SEBASTIAN ("Sebastian"), MICHAEL B. SEBASTIAN, JR., KIMBERLY SEBASTIAN, and BARNEY SEBASTIAN (collectively, with Sebastian, the "Sebastian Shareholders"), and FRANK J. DALICANDRO ("Dalicandro").
