As you know, Tiffany & Co. (“Parent”) has entered into an Agreement and Plan of Merger, dated November 24, 2019, with LVMH Moët Hennessy - Louis Vuitton SE and other parties. In light of the transaction contemplated by that agreement (the “LVMH Transaction”), Parent and Tiffany and Company (“Employer”) wish to take steps to retain key employees.
