This Term Loan Agreement (this “Agreement”) is dated as of June 12, 2023 and is among TRINITY RAIL LEASING 2023 LLC, a Delaware limited liability company (the “Borrower”), the lenders from time to time party hereto (each a “Lender” and collectively, the “Lenders”, as such terms are defined below), WELLS FARGO BANK, NATIONAL ASSOCIATION, as Administrative Agent for the Lenders referred to herein (in such capacity, the “Administrative Agent”), U.S. BANK TRUST COMPANY, NATIONAL ASSOCIATION, not in its individual capacity, but solely in its capacity as Collateral Agent for the Protected Parties referred to herein (in such capacity, the “Collateral Agent”) and U.S. BANK NATIONAL ASSOCIATION, not in its individual capacity, but solely in its capacity as Depositary for the Protected Parties referred to herein (in such capacity, the “Depositary”).
