WHEREAS, the Borrower, the Lenders, the Co-Syndication Agents, the Co-Documentation Agents and the Administrative Agent previously entered into that certain Credit Agreement, dated as of October 15, 2015 (as amended, supplemented or otherwise modified from time to time prior to the date hereof, the “Existing Credit Agreement”). The parties hereto desire to amend and restate the Existing Credit Agreement, on the terms and conditions set forth herein.
