TERMINATION AGREEMENT dated as of July 27, 2001, by and among UAL CORPORATION, a Delaware corporation ("UAL"), YELLOW JACKET ACQUISITION CORP., a Delaware corporation ("Yellow Jacket"), and US AIRWAYS GROUP, INC., a Delaware corporation ("US Airways"). WHEREAS, UAL, Yellow Jacket and US Airways are parties to an Agreement and Plan of Merger dated as of May 23, 2000 (as amended, the "Merger Agreement"); capitalized terms used but not defined herein have the meanings set forth therein; and
