THIS Gas Supply and Delivery Service Agreement (this "Agreement") is made and entered into as of November I, 2015 (the "Effective Date"), by and among UGI Utilities, Inc., a Pennsylvania Corporation ("Utility") having an address at 2525 North 12'h Street, Suite 360, Reading, PA 19605, and UGI Energy Services, LLC, a Pennsylvania limited liability company ("UGIES"), having an address at One Meridian Boulevard, Suite 2C01, Wyomissing, PA 19610. Utility and UGIES may herein be referred to individually as a "Party" or collectively as the "Parties.”
