This Economic Interest Participation Agreement and Purchase Option (this “Agreement”) is entered into effective as of the 19th day of September, 2008 (the “Effective Date”) by and between UNITED MORTGAGE TRUST, a real estate trust organized under the laws of the State of Maryland with an address of 1702 N.
