THIS SECOND AMENDED AND RESTATED SUBORDINATION AND INTERCREDITOR AGREEMENT (this "Agreement") is entered into as of June 21, 2010, by and among UNITED MORTGAGE TRUST, a Maryland trust ("Subordinated Creditor"), UNITED DEVELOPMENT FUNDING, L.P., a Delaware limited partnership (the "Company"), and WESLEY J. BROCKHOEFT, an individual, as Agent for all Senior Lenders (as hereinafter defined) party to the Senior Credit Agreement described below.
