This Fifth Amendment to Amended and Restated Credit Agreement (this “Amendment”) dated as of September 19, 2016, is by and between UNIVERSAL ELECTRONICS INC., a corporation organized under the laws of the State of Delaware (the “Borrower”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association (the “Lender”).

Based on the above and after full consultation with each other, the Parties have decided that Party A shall transfer to Party B 100% of the equity interest it holds in Party D. To facilitate the transaction, the Parties agree to enter into this Agreement.
