THIS LIBOR TRANSITION AMENDMENT (this “Amendment”), dated as of November 29, 2021 (the “Amendment Effective Date”), is entered into among WD-40 COMPANY, a Delaware corporation, and WD-40 COMPANY LIMITED, a company incorporated in England and Wales (collectively and individually, as applicable, the “Borrower”), the Guarantors party hereto, and Bank of America, N.A., as lender (the “Lender”).
