This STOCK PURCHASE AGREEMENT, dated as of July 1, 2015, is entered into by BHP Billiton New Mexico Coal, Inc., a Delaware corporation (“Seller”) and Westmoreland Coal Company, a Delaware corporation, (“Purchaser”).
