THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made as of February 7, 2023 by and among (i) Vincent Camuto LLC, a Connecticut limited liability company (“Camuto”), and DBI Brands Management LLC, an Ohio limited liability company (“IP Buyer” and, solely to the extent contemplated by Section 1.7, together with Camuto, “Buyer”), and (ii) Wolverine World Wide, Inc., a Delaware corporation (“WWW”), Keds, LLC, a Massachusetts limited liability company, SR Holdings, LLC, a Delaware limited liability company, Wolverine Outdoors, Inc., a Michigan corporation, and Wolverine Distribution, Inc., a Delaware corporation (collectively, together with WWW, “Sellers” and each, a “Seller”).
