THIS AMENDED AND RESTATED CHANGE IN CONTROL AGREEMENT is made and entered into as of this __ day of __________, 2006 by and among WESBANCO, INC., a West Virginia bank holding company (hereinafter referred to as the “Company”); and WESBANCO BANK, INC., a West Virginia banking corporation and a wholly-owned subsidiary of the Company (hereinafter referred to as the “Bank”); and _________________________(hereinafter referred to as the “Executive”).

THIS WAIVER AGREEMENT dated as of April 27, 2006 (this “Agreement”) is entered into between WESBANCO, INC., a West Virginia corporation (the “Borrower”), and SUNTRUST BANK, a Georgia banking corporation (the "Lender"). All capitalized terms used herein and not otherwise defined herein shall have the meanings given to such terms in the Credit Agreement (as defined below).
