This Agreement and Plan of Merger is dated as of May 10, 2016 (the “Agreement”) by and among Connecticut Water Service, Inc., a Connecticut corporation (“CWS”), HAC, Inc., a Connecticut corporation and a wholly-owned subsidiary of CWS (“NewCo”), and The Heritage Village Water Company, a specially-chartered Connecticut corporation (the “Company”). Each of CWS, NewCo and the Company are sometimes collectively referred to herein as the “Parties”. Capitalized terms used herein and not otherwise defined herein shall have the meanings set forth in Section 9.1 hereof.
