Reference is made to the Credit Agreement. Except as specifically defined to the contrary herein, capitalized terms used in this Amendment shall have the meanings given them in the Credit Agreement.

This Term Loan Agreement, dated as of October 31, 2006 (this “Agreement”), is entered into among SEMCO ENERGY, INC. (the “Company”), the financial institutions that are or may from time to time become parties hereto as lenders (together with their respective successors and assigns, the “Lenders”) and UNION BANK OF CALIFORNIA, N.A., a national banking association (in its individual capacity, “UBOC”), as administrative agent for the Lenders.
