This Agreement is made as of this 30th day of June, 2011, by and between MADISON ASSET MANAGEMENT, LLC, a Wisconsin limited liability company having its principal place of business in Madison, Wisconsin (“MAM”), and MEMBERS MUTUAL FUNDS, a Delaware business trust (the “Trust”).

THIS FIRST AMENDMENT effective as of July 1, 2011, to the Custody Agreement, dated as of November 1, 2009, (the “Custody Agreement”), is entered into by and between MEMBERS Mutual Funds, a Delaware business trust (the “Trust”) and U.S. Bank, N.A., a national banking association (the “Custodian”).

This Amendment is made as of this 1st day of August 2011 between Members Mutual Funds (the “Fund”) and State Street Bank and Trust Company (“Transfer Agent”). In accordance with Section 16.1 (Amendment) of the Transfer Agency and Service Agreement between the Fund and the Transfer Agent dated as of November 20, 2000, as amended, (the “Agreement”), the parties desire to amend the Agreements as set forth herein.
