This Agreement and Plan of Reorganization (the “Agreement”) is made as of May 14, 2013, and has been adopted by the Board of Trustees of Madison Funds (the “Trust”), a Delaware business trust, to provide for the reorganization of the Disciplined Equity Fund (the “Acquired Fund”) into the Investors Fund (the “Acquiring Fund”), each a series of the Trust.
