This Agreement and Plan of Merger (as may be amended from time to time, this “Agreement”) is made and entered into as of January 17, 2021, by and among: Haemonetics Corporation, a Massachusetts corporation (“Parent”); Concordia Merger Sub, Inc., a Delaware corporation and a wholly owned Subsidiary of Parent (“Merger Sub”); Cardiva Medical, Inc., a Delaware corporation (the “Company”); and Fortis Advisors LLC, a Delaware limited liability company, as the Seller Representative.
