Certain stockholders of The Exploration Company of Delaware, Inc., a Delaware corporation (the "Company"), named in Schedule I hereto (the "Selling Stockholders") propose to sell to Harris Nesbitt Corp. (the "Underwriter"), an aggregate of 1,866,666 shares of common stock, par value $.01 per share (the "Shares"), of the Company.
