THIS EMPLOYMENT AGREEMENT (“Agreement”) by and between Danaher Corporation, a Delaware corporation (the “Company”), and Henry Lawrence Culp, Jr. (the “Executive”) is amended and completely restated as of the 17th day of October, 2012, having been initially entered into as of July 18, 2000 (the “Effective Date”) and thereafter amended as of January 1, 2009.
