This letter agreement is being entered into in connection with the execution of an Agreement and Plan of Merger, dated as of the date hereof (the "Agreement"), among Peoples Heritage Financial Group, Inc. (the "Acquiror"), First Coastal Banks, Inc. (the "Acquiror Sub") and Bank of New Hampshire Corporation (the "Company"), pursuant to which, among other things, the Acquiror Sub will merge with and into the Company (the "Merger"), subject to the terms and conditions set forth in the Agreement. Capitalized terms which are used but not defined herein shall have the meanings ascribed to such terms in the Agreement.
