AMENDED AND RESTATED CREDIT AGREEMENT AMENDED AND RESTATED CREDIT AGREEMENT, dated as of April 11, 1994, by and among BELMONT FUND, L.P. (the "Borrower"), a Bermuda limited partnership with an office at Belmont Fund, L.P., c/o Fidelity Management Trust Company F7E, 82 Devonshire Street, Boston, Massachusetts 02109, the Banks listed on the signature pages hereof and each additional bank that may become a party hereto pursuant to Section 11 hereof (each a "Bank" and collectively, the "Banks") and [ ], a national banking association with its head office at [ ], as agent for the Banks (in such capacity, the "Agent").
