CREDIT AGREEMENT, dated as of February 18, 2003, among (a) DEERE & COMPANY, a Delaware corporation (the "Company"), (b) JOHN DEERE CAPITAL CORPORATION, a Delaware corporation (the "Capital Corporation"), (c) the several financial institutions parties hereto (collectively, the "Banks", and individually, a "Bank"), (d) JPMORGAN CHASE BANK, as administrative agent hereunder (in such capacity, the "Administrative Agent"), (e) CITIBANK, N.A. and CREDIT SUISSE FIRST BOSTON, as documentation agents hereunder (in such capacity, the "Documentation Agents") (f) BANK OF AMERICA, N.A. and DEUTSCHE BANK AG NEW YORK BRANCH, as syndication agents hereunder (in such capacity, the "Syndication Agents"), (g) the managing agents identified on the signature pages hereof (collectively, the "Managing Agents") and (h) the co-agents identified on signature pages hereof (collectively, the "Co-Agents").
