AGREEMENT made as of May 9, 2005, as amended and restated September 8, 2009, by and between Forum Funds, a Delaware statutory trust, with its principal office and place of business at Three Canal Plaza, Portland, Maine 04101 (the “Trust”), and Merk Investments, LLC, with its principal office and place of business at 555 Bryant Avenue #455, Palo Alto, California 94301 (the “Adviser”).

This Amendment (the “Amendment”) to the Distribution Agreement between Forum Funds and Foreside Fund Services, LLC (formerly known as Forum Fund Services, LLC) (the “Distribution Agreement”) dated as of March 31, 2009 by and between Forum Funds, a Delaware statutory trust (the “Trust”) and Foreside Fund Services, LLC, a Delaware limited liability company (“FFS”) is effective as of September 9, 2009 (the “Effective Date”).
