This AMENDED AND RESTATED INVESTMENT MANAGEMENT AGREEMENT, made as of the 1st day of August 2016, by and between T. ROWE PRICE GOVERNMENT MONEY FUND, INC., (formerly T. ROWE PRICE PRIME RESERVE FUND, INC.), a corporation organized and existing under the laws of the State of Maryland (the “Corporation”), and T. ROWE PRICE ASSOCIATES, INC., a corporation organized and existing under the laws of the State of Maryland (hereinafter called the “Manager”). This Agreement amends and restates in its entirety the Investment Management Agreement, dated as of the 1st day of July, 1987, by and between the Corporation and the Manager.
