THIS CHANGE OF CONTROL AGREEMENT (the “Agreement”) dated as of May 7, 2019 (the “Effective Date”) is hereby made between Key Energy Services, Inc., a Delaware corporation (the “Company”), with its principal offices located at 1301 McKinney Street, Suite 1800, Houston, Texas and Louis Coale (“Employee”), who agree as follows:

Key Energy SERVICES, Inc. (the “Company” or “Key”), a Delaware corporation with its principal offices at 1301 McKinney Street, Suite 1800, Houston, Texas 77010, and KATHERINE I. HARGIS (“Employee”) enter into this Amended and Restated Employment Agreement (this “Agreement”) effective the 7th day of May 2019 (the “Effective Date”) in order to outline the terms and conditions of Employee’s employment relationship with the Company during the term of this Agreement.
