This Shareholder Information Agreement (this “Agreement”) is entered into on April 16, 2007 by and between Maxim Series Fund, Inc. (the “Fund”) and GWFS Equities, Inc. and its affiliates (the “Intermediary”) with an effective date of October 16, 2007 or such earlier date as mutually agreed upon by the parties.

THIS Rule 22c-2 Amendment is made and entered into this March 27, 2007 by and between Great West Life and Annuity Insurance Company and/or its affiliates herein referred to as (“GWFS” or “Intermediary”), and Fidelity Distributors Corporation, including your principal underwriter and transfer agent (herein collectively referred to as “Fund Company”).

Agreement effective as of this 1st day of November, 2006, by and between Fidelity Distributors Corporation (hereinafter called "Fidelity"), a corporation organized and existing under the laws of the Commonwealth of Massachusetts, with a principal place of business at 82 Devonshire Street, Boston, Massachusetts, Great-West Life & Annuity Insurance Company, a company organized and existing under the laws of the State of Colorado, with a principal place of business at 8515 East Orchard Road, Greenwood Village, Colorado 80111 (“Company”).
