THIS DEVELOPMENT AND MANUFACTURING AGREEMENT (this "Agreement") is made and entered into as of April 27, 2005 ("Effective Date"), by and among Neurologix, Inc., a Delaware corporation and Neurologix Research, Inc., a Delaware corporation (collectively "Neurologix") and Medtronic, Inc., a Minnesota corporation ("Medtronic"). Each of the above is sometimes referred to herein individually as a "Party" and collectively as the "Parties."
