EXHIBIT 5(A) MANAGEMENT CONTRACT BETWEEN FIDELITY MAGELLAN FUND AND FIDELITY MANAGEMENT & RESEARCH COMPANY MODIFICATION made this 1st day of April 1994, (reformed April 16, 1998) by and between Fidelity Magellan Fund, a Massachusetts business trust which may issue one or more series of shares of beneficial interest (hereinafter called the "Fund"), on behalf of its single existing series of shares of beneficial interest (hereinafter called the "Portfolio"), and Fidelity Management & Research Company, a Massachusetts corporation (hereinafter called the "Adviser").
