THIS AGREEMENT is made as of this 17th day of April, 2014, among NATIONAL PENN BANCSHARES, INC., a Pennsylvania business corporation having its principal place of business in Boyertown, Pennsylvania ("NPB"), NATIONAL PENN BANK, a national banking association having its principal place of business in Allentown, Pennsylvania ("Bank"), and Sean P. Kehoe, an individual residing at 810 Eagle Drive, Emmaus, Pennsylvania 18049 ("Executive").
