AMENDMENT AND RESTATEMENT AGREEMENT dated as of July 18, 2014, among L BRANDS, INC. (formerly LIMITED BRANDS, INC.), a Delaware corporation (the “Company”), the BORROWING SUBSIDIARIES party hereto, the LENDERS party hereto, and JPMORGAN CHASE BANK, N.A., (a) in its capacity as Administrative Agent (in such capacity, the “Administrative Agent”) under the Amended and Restated Five-Year Revolving Credit Agreement dated as of July 15, 2011 (the “Existing Revolving Credit Agreement”), among the Company, the lenders party thereto, and the Administrative Agent and (b) as Collateral Agent under the Loan Documents (in such capacity, the “Collateral Agent”).
