This STOCK PURCHASE AGREEMENT (this “Agreement”) dated as of June 30, 2005 is made and entered into by and between DAVID R. KOTOK & ASSOCIATES, INC., a New Jersey corporation (“Purchaser”), HARLEYSVILLE NATIONAL CORPORATION, a Pennsylvania corporation (“HNC”), and HARLEYSVILLE NATIONAL BANK AND TRUST COMPANY, a national bank (“Seller”).
