THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT dated as of December 19, 2008 (the “Agreement”), is by and between Healthways, Inc., a Delaware corporation (the “Company”), and Anne Wilkins (the “Executive”), and amends and replaces in its entirety that certain Employment Agreement, dated April 24, 2008 between the Company and the Executive.
